Freshworks Acquires Device42 for $230 Million, Founder Steps Down as CEO

Freshworks, the SaaS firm, has made a significant move by acquiring Device42, a US-based startup, for $230 million. This acquisition marks Freshworks’ first since becoming a public company in 2021 and highlights its commitment to expanding its offerings in the IT asset management space. Device42 specializes in helping companies manage their IT infrastructure and provides insights into their systems, including carbon emissions tracking.

Device42’s comprehensive inventory system allows organizations to optimize resource allocation and gain broader visibility into their systems. With over 800 customers worldwide, Device42’s enterprise-grade IT asset management capabilities are expected to strengthen Freshworks’ Freshservice offering. Freshworks’ founder, Girish Mathrubootham, expressed his enthusiasm for the acquisition, stating that the integration of Device42 will enable them to better serve their customers.

The acquisition news coincided with another major development at Freshworks – Mathrubootham stepping down as CEO. Dennis Woodside, who joined the company as president in September 2022, will take over as the new CEO. Woodside brings with him a wealth of experience, having previously served as the CEO of Motorola Mobility. Mathrubootham will transition into the role of executive chairman, allowing him to focus on long-term product strategy and AI.

While the acquisition and leadership transition are significant milestones for Freshworks, they were met with a decline in the company’s stock price. Freshworks’ shares fell 25% after the announcement, potentially erasing about $1.4 billion from the firm’s market cap. However, analysts at Morgan Stanley believe that the leadership shift was part of planned succession planning and expressed confidence in Woodside’s abilities.

Freshworks reported its first-quarter earnings on the same day as the acquisition announcement. The company revealed continued weakness in its small and medium-sized business and customer service segments but remains optimistic about the adoption of its AI-powered solutions, Freddy AI and Co-Pilot, across various customer segments.
